This Customer Participation Agreement (&qout;Agreement&qout;) governs the use of EZAppointo’s services (“Services”) by business users (“You”, “Your”, or “Customer”) via EZAppointo Inc. (“EZAppointo”, “we”, “us”, or “our”). By creating a business account, using our platform, or accepting these terms electronically, you agree to this Agreement.
1. Account Setup and Use
You must provide accurate business details and have authority to bind your organization. You are responsible for the activities under your account and for maintaining secure access credentials.
2. Fees and Billing
You agree to pay all applicable fees outlined in our Pricing Schedule. Charges include subscriptions, setup fees, and any add-ons. Payments are billed in advance on a monthly basis. Late or failed payments may result in service suspension. No refunds are provided for partial use or early termination.
3. Third-Party Services
We may integrate or refer to third-party tools. Your interactions with third-party providers are solely between you and the third party. EZAppointo is not liable for any external services.
4. HIPAA Compliance
If you are a Covered Entity or Business Associate under HIPAA and use our platform for PHI, you must request and sign a Business Associate Agreement (BAA) with EZAppointo. Use of our Services without a BAA for PHI is not permitted.
5. Data Ownership and Usage
You retain ownership of your business data. By using our Services, you grant us a limited license to host, process, and analyze data as necessary to deliver and improve Services.
6. Termination
You may cancel with 30 days’ notice. EZAppointo reserves the right to suspend or terminate accounts for breach of terms or non-payment. Upon termination, your access to the platform will be disabled.
7. Limitation of Liability
EZAppointo is not liable for indirect or consequential damages. Total liability is limited to the fees paid by you in the prior 12 months.
8. Dispute Resolution and Jurisdiction
This Agreement is governed by the laws of New York. Disputes shall be resolved through binding arbitration in Nassau County, NY, under AAA rules. Both parties waive the right to a jury trial.
